CASA DEL RIO SENIOR HOUSING DEVELOPMENT* RESOLUTION 3716 AUTHORIZING THE HOUSING AUTHORITY TO ENTER INTO A MANAGEMENT AGREEMENT WITH CDR SENIOR HOUSING ASSOCIATES, A CALIFORNIA LIMITED PARTNERSHIP, IN ORDER FOR THE HOUSING AUTHORITY TO MANAGE CASA DEL RIO SENIOR HOUSING DEVELOPMENT 1. RECOMMENDED ACTION ADOPT Resolution No. 3716 AUTHORIZING the Housing Authority to enter into a management agreement with CDR Senior Housing Associates,a California Limited Partnership,in order for the Housing Authority to manage the Casa del Rio Senior Housing Development;and AUTHORIZING the Executive Director of the Housing Authority to enter into any and all agreements necessary for the Housing Authority to manage the development for CDR Senior Housing Associates, subject to review and approval of all documents by County Counsel. J 11. FINANCIAL IMPACT: 1 The Housing Authority will receive an annual feeof$28;250 from project income for managing the development. III. REASONS FOR RECOMMENDATION/BACKGROUND' Pursuant to Board authorization on May 24,1994,the Authority transferred ownership of Casa del Rio to CDR Senior Housing Associates, the limited partnership comprised of a non-profit affiliate of the Authority and a limited partner investor. The Authority has been'managing the property since,the beginning of June 1994. CDR Senior Housing Associates (the"Partnership"),has re4uesieil that the A6thority continue to manage the development and has proposed a three year contract,effective July 1,1994,the dati the.Partnership took ownership. Housing Authority staff has reviewed the Management Agreement,iAth County Counsel�'imd is recommending that the Authority enter to this contract. It is anticipated that the,Housing Authority will'cbutinuefo manage the development for the Partnership until ACI atAime the end of the 15 year tax credit period"; h 't& development can be transferred back to the Authority. It is recommended that the Executive Director be authorized to enter into any and all agreements necessary to manage Casa del Rio. It is further recommended that County Counsel review and approve all agreeinents prior to the Executive Director executing those agreements. IV. CONSEQUENCE OF NEGATIVE ACTION: A decision by the Board of Commissioners not Wapprove this Resolution would mean that management of the project would have to be contracted,out to another entity, and that the Authority would have little input into the management and maintenance of the development and'Would not`realize the$28,250 annual management fee. AnESTUD- Phil Batchelor crk of the Board of Commissioners BY DEPUTY HOUSING AUTHORITY'OF"THE COUNTY OF CONTRA COSTA RESOLUTION NO. 3716 RESOLUTION AUTHORIZING THE HOUSING AUTHORITY TO ENTER INTO A MANAGEMENT AGREEMENT WITH 'CDR SENIOR HOUSING ASSOCIATES FOR THE MANAGEMENT OF 'CASA DELiRIO SENIOR HOUSING DEVELOPMENT WHEREAS, the Housing Authority of the County of Contra Costa (the "Housing Authority" ) has transferred ownership of its senior housing development, Casa del Rio, ito CDR Senior Housing Associates, a California Limited Partnership (the "Partnership" ) ; WHEREAS, the Partnership, which is comprised of a non-profit affiliate of the Housing Authority and a limited partner investor, is established for the purposes of owning and operating the Casa del Rio development; WHEREAS, the Housing Authority has been managing the property since it completed the construction'; and� the ;Partnership has requested that the Housing Authority continue to manage the ,property, effective July 1, 1994; WHEREAS, the Partnership has requested that the Housing Authority enter into a Management Agreemeht 'with1he 'P`artnership for an initial three year period for an annual management fee',of $28,250; WHEREAS, it is anticipated that' the Housing Authority will continue to manage the development for , the .Partnership until the end of the 15 year Federal Low Income Housing Ta,x Creditj,period, at which time the development will be transferred back to ' the Housing Authority; WHEREAS, the Board of+ Co' mmissioners of the Housing Authority deems it to be in the best interests of tYie• Housing Authority to continue to have input into the management and main't`enance of Casa del Rio and to manage Casa del Rio for the Partne`rship ;' NOW, THEREFORE, BE IT RES,OLVED, as !follows: 1 . That the Executive Director :of' the Housing Authority is hereby authorized and directed to take any and all actions, and execute any and all agreements necessary for, the Housing Authority to manage Casa del Rio for the Partnership. 3 .
