Agreement #28-531-1 with the County of Alameda SPECIFIC REQUEST(S) OR RECOMMENDATION(S) & BACKGROUND AND JUSTIFICATION I. RECOMMENDED ACTION: Approve and authorize the Chair, Board of Supervisors, to execute on behalf of the County, Agreement #28-531-1 with the County of Alameda, in the amount of '$333, 506, for the period from July 1, 1993 , through June 30, 1994, to enhance comprehensive services to Contra Costa County residents with HIV Disease and their families. II. FINANCIAL IMPACT: Approval of this agreement will result in $333 , 506 of Supplemental Grant funds from the County of Alameda, as the Grantee of federal funds under the Ryan White Comprehensive AIDS Resources Emergency (CARE) Act, Title I, for FY 1993-94. No County match is required. III. REASONS FOR RECOMMENDATIONS/BACKGROUND: On February 2 , 1993, the Board of Supervisors approved Agreement #28- 531 with the County of Alameda, as the Grantee of federal Ryan White CARE Act, Title I Supplemental Grant funds, for development, organization, coordination, and operation of more effective and cost efficient systems for the delivery of essential services to Contra Costa County residents with HIV Disease and their families. Approval of Agreement #28-531-1 will continue funding for these services through June 30, 1994 . The Board Chair should sign seven copies of the agreement. Six signed copies of the agreement and four certified copies of this Board Order should be returned to the Contracts and Grants Unit for submission to the County of Alameda. WHEREAS, the Ryan White Comprehensive AIDS Resources Emergency Act of 1990 (hereinafter referred to as the "Act") was enacted into federal law for the purpose of providing emergency assistance to localities that are disproportionately affected by the Human Immunodeficiency Virus epidemic and to provide financial assistance for the development, organization, coordination and operation of more effective and cost efficient systems for the delivery of essential services to individuals and families with HIV disease, and ; WHEREAS, the Secretary of the United States Department of Health and Human Services, acting through the Health Resources and Services Administration, has awarded $1,235,207 to the Oakland Eligible Metropolitan Area in accordance with the provisions of the HIV Emergency Relief Supplemental Grant Program of the Act, to be disbursed over the period of July 1, 1993 through June 30, 1994 to provide essential services, and; WHEREAS, the grant is directed to the President of the Alameda County Board of Supervisors as the chief elected official of the urban county that administers the public health agency that provides outpatient and ambulatory services to the greatest number of people with AIDS, and; WHEREAS, the President of Alameda County Board of Supervisors shall establish through intergovernmental agreements with the chief elected officials of the qualifying political subdivisions an administrative mechanism to allocate funds and services; and WHEREAS, both the Health Resources and Services Administration and the Alameda/Contra Costa HIV Planning Council stipulate that 27 percent of the funds awarded to the Oakland Eligible Metropolitan Area be allocated to Contra Costa County and, further, that Contra Costa County has been allocated $333,506 from the total awarded to the Oakland Eligible Metropolitan Area, to be disbursed over the period of July 1, 1993 through June 30, 1994. NOW, THEREFORE, IT IS HEREBY MUTUALLY AGREED AS FOLLOWS: 1. The County of Contra Costa shall: A. Provide for the delivery of essential services to individuals and families with HIV disease, as set forth in Exhibit A; and B. Provide to the County of Alameda quarterly invoices for services provided pursuant to this Agreement, which reflect the services provided during the preceding quarter, using the invoice format as set forth in Exhibit B. 2. The County of Alameda shall: A. Remit payment to Contra Costa County within ten (10) working days of receipt of each invoice. The total amount payable to Contra Costa County shall not exceed $333,506 for the period of July 1, 1993 through June 30,1994. 3. Attached hereto and marked Exhibit A, and incorporated by reference herein, is the scope of work to be performed by the County of Contra Costa and the budget requesting AIDS funding pursuant to the Act. 4. The County of Alameda is not liable for an exchange of money or monetary consideration under this Agreement. S. Neither the County of Contra Costa, nor any of its employees shall by virtue of this Agreement be an employee of the County of Alameda for any purpose whatsoever, nor shall it or they be entitled to any of the rights, privileges or benefits of Alameda County employees. The County of Contra Costa shall be deemed at all times an independent contractor and shall be wholly responsible for the manner in which it performs the services required of it by the terms of this Agreement. The County of Contra Costa assumes exclusively the responsibility for its actions and those of its employees as they relate to the services to be provided during the course and scope of their employment. 6. The County of Contra Costa shall provide workers' compensation at its own cost and expense and neither the County of Contra Costa nor its carrier shall be entitled to recover any costs, settlements, or expenses of workers' compensation claims arising out of this contract. 7. The County of Contra Costa shall at all times during the term of this Agreement maintain in force those insurance policies and bonds as designated in the attached Exhibit C and will comply with all those requirements. 8. The County of Contra Costa agrees to defend at its sole expense, indemnify, and hold harmless the County of Alameda, its officers, employees and agents, from any liability in addition to any and all acts, claims, omissions, and losses by whomever asserted arising out of the acts or omissions of the County of Contra Costa in performance of the scope of work except those arising by reason of the sole negligence of, the County of Alameda, its officers, employees or agents. The County of Alameda agrees to defend at its sole expense, indemnify, and hold harmless the County of Contra Costa, its officers, .employees and agents, from any liability in addition to any and all acts, -claims, omissions, and losses by whomever asserted arising out of the acts or omissions of the County of Alameda in performance of the scope of work except those arising by reason of the sole negligence of the County of Contra Costa, its officers, employees or agents. 9. The County of Contra Costa shall observe and comply with all applicable laws, ordinances, codes and regulations of governmental agencies, including federal, state, municipal, and local governing bodies. All services performed by the County of Contra_ Costa must be in accordance with these laws, ordinances, codes and regulations. Contractor shall indemnify and save the County of Alameda harmless from any and all liability, fines, penalties and consequences from any noncompliance or violations of such laws, ordinances, codes and regulations. 10. Until the expiration of five years after the furnishing of any services pursuant to this Agreement, the County of Contra Costa shall make available, upon written request, to the federal and/or state government or any of their duly authorized representatives, this Agreement, and such books, documents and records of the County of Contra Costa that are necessary to certify the nature and extent of the reasonable cost of services. This paragraph shall be of no force and effect when and if it is not required by law. 11. Nothing contained in this Agreement shall be construed to permit assignment or transfer by the County of Contra Costa of any rights under this Agreement and such assignment or transfer is expressly prohibited and void. 12. This Agreement may be altered, changed or amended only by mutual agreement of the parties, and any alterations, changes or amendments shall be in writing and signed by the signatories of this Agreement or their successors in office. SUPPORT SERVICES Day Care/Respite $41,800 AIDS Community Network Organizing and expanding volunteer involvement, client enrollment and activities at Tranquillium Center, a day care service center for people with HIV in West Contra Costa County Food $30,900 Diablo Valley AIDS Center 1,000 bags of groceries to HIV-infected clients who meet financial eligibility requirements. Volunteer recruitment and coordination of food bank services. Direct Financial Assistance $50,000 Catholic Charities ($35,000) Short-term rental assistance and emergency housing vouchers for financially eligible HIV-infected clients. Contra Costa County Health Services Department ($15,000) Bus ticket and transportation vouchers for people with HIV who meet financial eligibility requirements The maximum amount allowable for Support Services is $122,700 II. CASE MANAGEMENT Bay area Addiction Research And Treatment 2 . 0 FTE HIV Case Managers for clients enrolled in methadone treatment. The maximum amount allowable for Case Management is $73, 000. III. HOME HEALTH CARE Contra Costa County Health Services Department Attendant care and child care for people with HIV disease The maximum amount allowable for Home Health Care is $71,131. IV. MENTAL HEALTH Contractor to be identified to provide mental health training and coordination to ensure access to mental health resources for people with HIV. The maximum amount allowable for Mental Health is $50,000. V. ADMINISTRATION No more than 5% of the total Supplemental Grant allocation may be used for administrative support. Clerical and accounting services are funded to support the CARE Supplemental Grant programs The maximum amount allowable for administration is $16,675.
