RECOMMENDATION:
1. Authorize the Chair of the Board of Supervisors to sign a contract with Budgeting
Technologies for $323,687 to install new software and secure new hardware
needed to replace the county budget system.
BACKGROUND:
Over the last three years, the county has been planning for the replacement of the
current budget system. Lat year, an 8 member committee identified problems with the
current system and established system requirements for a new system. In December,
1992, a request for proposal was let and six firms submitted bids. In April, the
Committee selected Budgeting Technology, Inc. as the replacement system best suited
for the County.
The proposal calls for the County to contract with Budgeting Technology, Inc. to secure
necessary software, interfaces to the Finance and Personnel systems and training of
staff from County Data Processing, CAO budget and Auditor's Office. The project will
be guided and overseen through a committee with County-wide representation and will
be directed by a project manager.

The objectives of the project are:
1. to reduce the maintenance costs of running the budget system;
2. to secure a state of the art budget system which is integrated with a salary
projection system;
3. to secure a budget system which is substantially more user friendly and capable
of"what if' manipulations and downloads to existing P.C. spreadsheets and data
bases; and
4. to enhance budget monitoring through system tracking of personnel transactions
(P-300) activities and appropriation adjustments;
5. to substantial save Auditor's staff time with a system that can quickly prepare
budget schedules and required reports; and
6. to substantially reduce the CAO and Personnel Department staff time spent on
forecasting salary and benefit proposals in labor negotiations and other budgetary
analysis.
Financing for the project will be through the Productivity Investment Fund to the extent
of $230,000 and the equipment costs of $93,687 will be purchased through the capital
projects budget. This project should result in a county savings of$115,000 per year due
to elimination of one mainframe computer and associated maintenance costs.

1. Payment Amounts. Subject to the Payment Limit of this Contract and subject to the

2. Payment Demands. Contractor shall submit written demands. Said demands shall be
made on County Demand Form D-15 and in the manner and form prescribed by County.
Contractor shall submit said demands for payment no later than 30 days from the end
of the month in which the contract services upon which such demand is based were
actually rendered. Upon approval of said payment demands by the head of the County
Department for which this Contract is made, or his designee, County will make
payments as specified in Paragraph 1. (Payment Amounts) above.
3. Right to Withhold. County has the right to withhold payment to the Contractor
when, in the opinion of the County expressed in writing to the Contractor, (a) the
Contractor's performance, in whole or in part, either has not been carried out or is
insufficiently documented, (b) the Contractor has neglected, failed or refused to
furnish information or to cooperate with any inspection, review or audit of its
program, work or records, or (c) Contractor has failed to sufficiently itemize or
document its demand(s) for payment.
4. Audit Exceptions. Contractor agrees to accept responsibility for receiving, reply-
ing to, and/or complying with any audit exceptions by appropriate County, State or
Federal audit agencies occurring as a result of its performance of this Contract.
Contractor also agrees to pay to the County within 30 days of demand by County the
full amount of the County's obligation, if any, to the State and/or Federal government
resulting from any audit exceptions, to the extent such are attributable to the
Contractor's failure to perform properly any of its obligations under this Contract.

SERVICE PLAN
AND
AGREEMENT BETWEEN BUDGETING TECHNOLOGY, INC.
AND
THE OFFICE OF THE COUNTY ADMINISTRATOR
COUNTY OF CONTRA COSTA
This agreement, made between Budgeting Technology, Inc. a Maryland corporation,
hereinafter referred to as "Contractor", and the County of Contra Costa, Office of the
County Administrator, hereinafter referred to as "County", describes contracted
consulting, procurement and customizing services that are to be furnished in connection
with the installation of a computerized budgeting system for the County as defined in this
document.
This agreement represents the entire agreement between the Contractor and the County.
Provisions relating to services that are to be provided by IBM Corporation and Tod
Gerstein Associates are incorporated by reference as part of this agreement for the
purposes of defining the role of both firms in providing services to the County as
subcontractors to Budgeting Technology as the Contractor. Budgeting Technology, as
the prime Contractor under this agreement with the County, hereby assumes
responsibility for the performance of the aforementioned subcontractors to the extent that
the subcontractors' performance is defined under this agreement.
This agreement is comprised of the following documents:
a. This agreement;
b. County's General Conditions (with attached Special Conditions and amendments);
C. Task responsibility list with savings for County off original proposal dated 7/28/93;
d. Agreement to provide BRASS and Thoroughbred training and support dated
7/29/93;
e. Revised project implementation schedule dated 8/2/93;
f. The attached revised cost proposal dated 5/3/93, which is incorporated as part of
this agreement;
g. Contractor's response to the County's RFP, attached and made part of this
agreement;
h. The County's Request for Proposal (RFP), attached and made a part of this
agreement;
i. Budgeting Technology Standard Software License Agreement; and
j. Budgeting Technology Standard Software Maintenance Agreement.
Each document is deemed to include such other material as is referred to or
incorporated by reference in such document.

In the event of inconsistencies or conflicts within the provisions of the documents that
compose this agreement, such provisions shall have priority with respect to each other
in the order listed above, with the provisions in the document listed first having the
highest priority.
Now, therefore, the parties hereto in consideration of the promises mutually contained
herein certify and agree to the following:
1. RESPONSIBILITY OF THE COUNTY
County agrees to compensate Contractor for work performed under this
agreement subject to the terms and conditions that are set forth in this
agreement. Such basic but non-exclusive terms and conditions shall be guided
by the following:
a) The County hereby agrees to purchase the hardware that is listed in
Section VIII (Project Costs) of the Contractor's Proposal (g. attached)
subject to the Contractor's guarantee of pricing no greater than that set
forth in Contractor's revised cost proposal (f. attached), subject to the
equipment performing to the specifications of IBM as the manufacturer, and
subject to the acceptance testing criteria that are set forth in this
agreement. Contractor and County recognize that it may be possible,
subsequent to this Agreement, to obtain better pricing or to arrange to use
less equipment to accomplish this project, in which case this Agreement
allows for such arrangements. Contractor also recognizes the County's
intent to contract directly with IBM for ongoing hardware support following
the County's acceptance of the "System", as defined in this agreement,
and pursuant to the expiration of all applicable warranties on the hardware.
b) The County hereby agrees to purchase from the Contractor its proprietary
BRASS software, provided such software is satisfactorily modified pursuant
to the terms, conditions and specifications of this agreement, subject to the
software performing to the specifications of the manufacturer, and subject
to the acceptance testing criteria that are set forth in this agreement. The
County recognizes that warranties on software that is acquired and
modified under this agreement are conveyed by Budgeting Technology,
.Inc. through this agreement. It is the County's intent to contract directly
with Budgeting Technology, Inc. for ongoing software support, subject to
the acceptance testing criteria that are set forth in this agreement and
pursuant to the expiration of all applicable warranties on the software. The
County hereby recognizes that all core application software and custom
software modifications that are developed under this agreement shall be
owned exclusively by Budgeting Technology, Inc., and that the distribution
and sale of these enhancements shall be limited to Budgeting Technology,

Inc. County recognition of Budgeting Technology as the bearer of title to
the software shall n6t infringe upon 'he County's right to use the software
in a manner that is consistent with Budgeting Technology conveyance of
a non-exclusive license to the County.
c) The County hereby agrees to compensate the Contractor for consulting
services that are provided by the Contractor and its subcontractors, subject
to the payment schedule set forth in this agreement, and provided such
work is satisfactorily rendered in a manner that is consistent with the terms
and conditions of this agreement.
d) The County hereby agrees to review each major deliverable from the
Contractor and its subcontractors, including reports and documented
modifications that are delivered to the County by the Contractor.
Deliverables shall be deemed acceptable by the County unless failures are
documented by the County and forwarded to the Contractor within ten (10)
working days of the County's receipt of the deliverable. The County's
acceptance of deliverables under this paragraph shall be subject to the
terms and conditions set forth under Contractor responsibilities in this
agreement.
e) The County hereby agrees to take responsibility for and complete certain
tasks which,originally were to be Contractor responsibility (per c. attached).
f) The County hereby agrees to provide dial-in capabilities for the purpose of
supporting Budgeting Technology's responsiveness for software support.
County shall ensure that Budgeting Technology is provided proper security
access to diagnose and repair all software problems. County further
agrees to provide Budgeting Technology written notification of a software
problem within 48 hours of such problem's discovery. County hereby
agrees to test all system modifications that are performed by Budgeting
Technology.
g) County hereby recognizes that any software modification that is made by
the County shall void all maintenance agreements between the County and
Budgeting Technology, Inc. unless such modifications are I agreed to in
writing by the County and Budgeting Technology. A mechanism for
obtaining such written agreement will be developed by Contractor and
County pursuant to d. attached.
h) The County hereby recognizes that Contractor demonstrations of the
"System", as defined in this agreement, are made exclusively for the
County, and that review of materials provided by the Contractor may not

be shared by the County with parties outside of the County without prior
written approval of the Contractor.
i) The County hereby agrees to respond to Contractor inquiries or requests
for information and assistance in a timely fashion and to provide County
staff support to the Contractor for the purposes of designing, installing,
testing and customizing the "System" as it is defined in this agreement.
2. RESPONSIBILITY OF THE CONTRACTOR
a) Contractor hereby agrees to provide professional advice, technical
information and analysis, assistance with hardware installation services,
software procurement and installation services, software customization
services, training, and project_management services as defined under this
agreement.
b) Contractor hereby agrees to facilitate and review a communications
network configuration for the System that is prepared and submitted to the
Contractor by the County. Contractor shall review the configuration for
consistency with the specifications of the hardware manufacturer (IBM
Corporation) or detail in writing changes that are needed to conform to
such specifications. In the event changes are required to the configuration
that is submitted to the Contractor by the County, Contractor agrees to
review those changes for consistency with the hardware manufacturer's
specifications. Contractor hereby agrees that the County will arrange for
the installation of cabling to support the System outside of the context of
this agreement.
C) Contractor hereby agrees to provide an on-site (i.e., County location)
demonstration of the Budgeting Technology software system during the fit
analysis stage of the project (per e. attached).
d) Contractor hereby agrees to provide a detailed written report on System
specifications, required software modifications, and an updated project
implementation schedule that includes key project milestones at the close
of the fit analysis stage of the project, as defined in the Contractor's
response to the County's RFP (g. attached). Said report shall define any
addendums to this agreement that may be required to authorize the
Contractor to proceed with modifications to the core software system.
Upon the completion of said report, and pursuant to its acceptance by the
County, the Contractor shall be authorized to proceed with work under the
terms and conditions of this agreement.

e) In consideration of d) above and the fees described under Section 3
(below)of this agreement, Contractor's report at the close of the fit analysis
stage of the project shall include hardware and software specifications,
performance specifications, and acceptance testing criteria. Specifications
on acceptance testing shall include benchmarks for defining Major and
Minor failures of the system during the acceptance testing period. For
software modifications, the following is expected: a narrative description
of all input data (such as type, size, range of expected values, and
relationship to other data), a description and pictures of all screens,
including sequence diagrams, definitions and descriptions of all outputs
and reports that are to be generated including the process for generating
them. Contractor shall deliver the completed technical System design
consistent with the schedule set forth (e. attached).
Upon Contractor's submission of the above referenced technical design,
the County shall have ten (10) working days to review and accept or reject
it. Such acceptance or rejection by the County shall be in writing. In the
event the County rejects the design, the County shall specify in writing its
grounds for rejection, and the Contractor shall use its best efforts to revise
the design and make it acceptable to the County within the following ten
(10) working days. If the County rejects the technical design a second
time, the County shall have the option of repeating the procedure in this
section or terminating this agreement upon written notice to the Contractor.
g) Contractor agrees to assign its personnel to the project in a manner that
is consistent with the Contractor's proposal. Any substitution of personnel
that are assigned to the project by the Contractor shall require prior written
approval by the County. Contractor further agrees to provide the County
with a resume for and an opportunity to interview those persons who are
to be assigned by the Contractor to the project as replacements for
currently assigned personnel under the Contractor's proposal. Contractor
shall not unreasonably fail to act upon a County request for contracted
personnel replacements on the project, provided such requests are
documented and forwarded by the County for reasonable cause.
h) Contractor warrants that it is owner of the application software programs
that are to be procured, installed, modified and licensed for use by the
County under this agreement. Contractor further warrants that it has the
full power and authority to grant the County's use of these systems without
the consent of any other party.

i) Notwithstanding the responsibilities of the County under Section 1 b)
above, Contractor hereby certifies that it will grant to the County a non-
exclusive, perpetual license to use Budgeting Technology software that is
provided and modified under this agreement, subject to the terms and
• restrictions set forth in the license agreement (i. attached). Title to the
licensed application software programs shall remain at all times with
Budgeting Technology, Inc.
j) Contractor agrees to warranty the System at no cost to the County for
ninety (90) days from the date of "live" usage by the County of the
modified programs (estimated as 1/15/94). Thereafter, Contractor will
continue to warranty the system as part of its standard maintenance
agreement 0. attached) for which the County will pay an annual fee as
specified in the Contractor's revised cost proposal (f. attached).
k) Contractor hereby certifies that it will provide to the County under this
agreement a current copy of the source code for the programs licensed to
and modified for the County. Subsequently, the County's copy of source
code will be updated with each new release or major modification of the
software.
1) Contractor hereby certifies that, in the event it is adjudicated insolvent or
is unable to substantially perform its obligations, or if it should cease
operation for any other reason, during the timeframe of this contract,
Contractor will obtain for and without expense to the County a then current
copy of the Budgeting Technology source code for the County's version of
the application software.
3. FEE ARRANGEMENT
Per the terms of this agreement, the County shall compensate the Contractor
upon satisfactory performance and County acceptance of the work to be provided
herein.
The granting of any payment or payments by the County, or the receipt thereof
by the Contractor, shall in no way lessen the responsibility of the Contractor to
replace or correct any System component that does not perform within the project
timeframe and warranty periods according to the documentation and specifications
that are set forth in this agreement.

4. CHANGE ORDERS
Contractor hereby agrees that the County may, pursuant to the completion of the
Fit Analysis stage of the project, order modifications to the application software
that is provided by Budgeting Technology. While $18,000 has been set aside in
this contract for this purpose, none of that money is committed at this point, but
is instead a contingency should additional modifications be ordered by the County.
Contractor charges for providing such changes shall be agreed upon by the
Contractor and County prior to the commencement of work to complete such
modifications. Contractor hereby agrees to perform such work on the basis of the
hourly rates that are set forth in the Contractor's response to the County's RFP
(g. attached), and as amended by this agreement. Requested change orders
shall be submitted by the County to the Contractor in writing, and the Contractor
shall provide a written quotation for the cost of each change order prior to the
commencement of work.
5. "SYSTEM" DEFINITION
For the purposes of this agreement and acceptance testing procedures as
described below, the "System" is defined as the computer hardware and all
operating and application software that is procured, installed and modified on
behalf of the County by the Contractor and its subcontractors pursuant to this
agreement and its attachment documents. In particular, the"System" refers to the
RISC 6000 computer, AIX operating system, SBFS and BRASS software and all
hardware and software necessary to provide the communications network such
that the County has a fully operational government budgeting system.
6. ACCEPTANCE PERIOD AND TESTING
a) The County shall accept the System upon determination that all of the
features and functions that are described as requirements in the County's
RFP and set forth in the Contractor's proposal have been met, including all
applicable manufacturer specifications on the hardware and software. Said
requirements shall be refined and amended pursuant to the Contractor's
completion of the technical system design report at the close of the Fit
Analysis stage of the project.

b) In the event the County should reject all or a portion of the Contractor's
technical system design report at the close of Fit Analysis stage, the County
shall do so in writing and with delineated cause. Contractor shall have ten
(10) working days after the receipt of the County's written rejection to correct
deficiencies in the report. The County shall not unreasonably deny the
Contractor an extension beyond the ten (10) day period to correct such
deficiencies in the event the Contractor requests such an extension for good
cause and in writing, and provided Contractor's request for an extension does
not exceed a thirty (30) day period. In the event the County rejects the
corrected Contractor report a second time, and the County does so with
good cause and in writing, the County may exercise its right to cancel this
agreement in writing. Such cancellation by the County shall result in its right
to refuse payment for work performed by the Contractor under the Fit
Analysis stage of the project.
c) At a minimum, County acceptance of the System will be contingent upon the
following:
• The System's ability to produce all reports and screens that are described in
this agreement and its attachments.
• The ability to enter, correct, and display all fields that are specified in the
agreement.
• The ability to enter and retrieve data, both on-site and from remote sites, and
to do so within the response times that are set forth in the agreement.
d) The acceptance evaluation period will commence upon the County's receipt
of written notice from the Contractor that the System has been installed and
readied for acceptance testing. The County shall complete acceptance
testing within fifteen (15) working days of its receipt of written notification to
commence testing. County's acceptance pursuant to testing shall be made
in writing to the Contractor. In the event the System fails acceptance under
the terms and conditions of this agreement because of deficiencies, the
County shall notify the Contractor in writing of the nature of the System's
failure, and the Contractor shall have ten (10) working days within which to
correct the System's deficiencies.
e) Under no circumstances shall System warranty periods commence until the
completion of the acceptance testing period, nor shall the acceptance testing
period be deemed complete in advance of the Contractor's correction of
documented deficiencies. Per the Project Schedule (e. attached), final
system acceptance will come after all software modifications have been
tested and deficiencies corrected (estimated as 1/14/94).

0 A Major fail-ire of the System during acceptance testing shall cause a new
fifteen (15) day acceptance testing period to commence following the
Contractor's correction of the Major deficiency. In the event more than one
Major deficiency should occur during the acceptance testing period, the
County may at its sole discretion exercise its option to terminate this
agreement upon written notice to the Contractor.
T. LIABILITY OF PARTIES
The parties to this agreement acknowledge that an independent
Contractor/County relationship is created by this agreement. No agent, employee,
servant,or representative of the Contractor or its subcontractors shall be deemed
to be an employee, agent, servant, or representative of the County for any
purpose. Employees of the Contractor and its subcontractors are not entitled to
any of the benefits the County provides for County employees. Contractor shall
be solely and entirely responsible for its acts and for the acts of its agents,
employees, servants, subcontractors, or otherwise during the performance of this
agreement.
8. TERM OF THE AGREEMENT
The term of this agreement shall be from September 1, 1993 through the
completion of the project as prescribed in the Contractor's work plan and
implementation schedule, provided mutually agreed upon amendments or
modifications to that schedule do not extend beyond June 30, 1994. The term
of the agreement may be amended by the mutual consent of both parties.
9. GOVERNING LAWS
This agreement shall be interpreted according to the laws of the State of
California, USA.
IN WITNESS WHEREOF, THE PARTIES HERETO HAVE SET THEIR HANDS.
THE EFFECTIVE DATE OF TrIIS AGREEMENT IS AJGUST 12, 1993 AND IT
SHALL REMAIN IN EFFECT UNTIL ALL TERMS AND CONDITIONS ARE MET
TO THE SATISFACTION OF THE PARTIES TO THIS AGREEMENT.
