SPECIFIC REQUEST(S) OR RECOMMENDATIONS (S) & BACKGROUND AND JUSTIFICATION
RECOMMENDATIONS
AUTHORIZE the Director of Community Development or his designee to
enter into a professional services contract with Elizabeth Gearin for
a Planner I contract position.
FISCAL IMPACT
No General Funds are involved. The contract would be paid from County
HOME funds for administration, County CDBG funds for administration,
and/or County Housing Bond Trust funds.
BACKGROUND/REASONS FOR RECOMMENDATIONS
The Community Development Department has recently undertaken the task
of administering the new federal HOME program, the Housing
Opportunities for Persons with Aids (HOPWA) , as well as being charged
- with follow-up to the Housing Trust Fund Task Force recommendations
accepted by the Board of Supervisors. The latter resulted in a
directive to work with a subsequent task force to develop an
inclusionary housing program, among other things. Current housing
staff is in need of support to accomplish these tasks in an expedient
fashion.

1. Contract Identification.

2. Parties. The County of Contra Costa, California (County), for its Department named above, and the following
named Contractor mutually agree and promise as follows:

3. Term. The effective date of this Contract is September 1. 1993 and it terminates August 31, 1994 unless
sooner terminated as provided herein.
4. Termination. This Contract may be terminated by the County, at its sole discretion, upon five-day advance
written notice thereof to the Contractor, or cancelled immediately by written mutual consent.
5. Payment Limit. County's total payments to Contractor under this contract shall not exceed $35,000.00
for 2000 services units, mileage expenses to be paid at County fee rate, meals for after hours meetings,
and other miscellaneous out-of-pocket expenses.
6. County's Obligations. In consideration of Contractor's provision of services as described below, and
subject to the payment limit expressed herein, County shall pay Contractor, upon Contractor's submission
of a properly documented demand for payment (County Demand Form D-15) which shall be submitted not later
than 45 days from the end of the month in which the contract services were rendered, and upon approval of
such demand by the head of the County Department for which this Contract is made or his designee, as
follows:

7. Contractor's Obligations. Contractor shall provide the following described services:

B. Compliance with Law. Contractor shall be subject to and comply with all Federal, State and local laws and
regulations applicable with respect to its performance under this Contract, including but not limited to,
licensing, employment and purchasing practices; and wages, hours and conditions of employment, including
nondiscrimination.
9. Nondiscriminatory Services. Contractor agrees that all goods and services oder this Contract shall be
available to all qualified persons regardless of age, sex, race, religion, color, national origin, or ethnic
background, or handicap, and that none shall be used, in whole or in part, for religious worship or
instruction.
10. Independent Contractor Status. This Contract is by and between two independent contractors and is not
intended to and shall not be construed to create the relationship between the parties of agent, servant,
employee, partnership, joint venture, or association.
11. Disputes. Disagreements between the County and Contractor concerning the fees to be paid to the contractor
shall be subject to final determination in writing by the head of the County Department for which this
Contract is made or his designee or in accordance with the applicable procedures (if any) required by the
State or Federal Government.

12. Access to Books and Records of Contractor. Subcontractor. Pursuant to Section 1861(v)(1) of the Social
Security Act, and any regulations promulgated thereunder, Contractor shall, upon written request and until
the expiration of four years after the furnishing of services pursuant to this Contract, mke available to
the Secretary of Health.and Human Services, the Comptroller General, the County, or any of their duly
authorized representatives, this Contract and non-proprietary books, documents, and records of Contractor
that are necessary to certify the nature and extent of all costs and charges hereunder.
Notwithstanding any other provision in this Contract, all workpapers of Contractor shall remain the property
of Contractor. In addition, to the extent that Contractor utilizes any of its property (including, without
Limitation, any hardware or software of Contractor or any proprietary or confidential information or trade
sestets of Contractor) in performing the services hereunder, such property shall remain the property of
Contractor and the County shall acquire no right or interest in such property except as expressly defined
below in this section.
Further, if Contractor carries out any of the duties of this Contract through a subcontract with a value
or cost of $10,000 or more over a twelve-month period, such subcontract shall contain a clause to the effect
that upon written request and until the expiration of four years after the furnishing of services pursuant
to such subcontract, the subcontractor shall cake available, to the Secretary, the Comptroller General, the
County, or any of their duly authorized representatives, the subcontract and books, documents, and records
of the subcontractor that are necessary to verify the nature and extent of all costs and charges hereunder.
This special condition is in addition to any and all other terms regarding the maintenance or retention of
records under this Contract and is binding on the heirs, successors, assigns and representatives of
Contractor.
13. Reporting Requirements. Pursuant to Government Code §7550, Contractor shall include in all documents or
written reports completed and submitted to County in accordance with this Contract, a separate section
Listing the numbers and dollar amounts of all contracts and subcontracts relating to the preparation of each
such document or written report. This section shall apply only if the payment limit under this Contract
exceeds 55,000.
14. Indemnification. Contractor shall indemnify and hold County harmless from any and all claims, suits,
actions, liabilities and reasonable defense costs, in each case solely for bodily injury to individuals and
physical damage to tangible property to the .extent proximately caused by the negligence or willful
misconduct of Contractor as a result of Contractor's performance of services under this Contract; provided
however, if there is also fault on the part of County or any agency thereof, the foregoing indemnity shall
be on a comparative fault basis.
As a condition to the foregoing indemnity obligations of Contractor, County shall provide Contractor with
prompt notice of any claim for which indemnification may be sought hereunder and shall cooperate (and shall
cause all agencies thereof to cooperate) with Contractor in connect
15. Legal Authority. This Contract is entered into under and subject to the following legal authorities:
California Government Code Sections 26227 and 31000.

ATTACHMENT A
POTENTIAL UM TASKS
1. Prepare an updated inventory of Affordable Housing Projects funded or administered by the County; establish
a system for monitoring compliance with affordability terms; and related tasks.
2. Establish a system that will permit the development of a waiting list of pre-qualified First Time
Homebuyers.
3. Assist in the County's HOME Program by:
A. Assisting in the review and evaluation of HOME Project applications;
B. Assisting non-profits in achieving status as Comprehensive Housing Development Organizations as defined
by HOME; and
C. Coordinate the provision of required socioeconomic and affordable housing data to a consultant under
contract to the County to prepare a 5-year Comprehensive Housing Assistance Strategy.
4. Assess the current housing needs of the low income AIDs/HIV positive population in Contra Costa County, and
assist in the preparation of a long term housing strategy for said population.
5. Assist in the development of a system to monitor housing production in the County and in specific sub-areas
as required by state Housing Element law, state Redevelopment law, and federal regulations.
6. Assist in the planning and implementation of redevelopment programs in County redevelopment project areas.
7. Provide interim assistance in the development of Environmental Review Records for the Federal CDBG and HOME
programs.
B. Assist in the development of a monitoring and response plan that will enable the County to preserve existing
subsidized affordable housing projects.
9. Other duties as specified.
