RECOMMENDATION APPROVE and AUTHORIZE the Chair of the Board of Supervisors to execute on behalf of Contra Costa County a contract with the State of California Employment Development Department (EDD) for the purpose of providing access to up. to 100 County-owned transmission paths for the period August 1, 1993, through July 31, 1994 . II . BACKGROUND EDD requires access to County transmission paths to implement a centralized call-in center for its clients. III . FINANCIAL IMPACT The EDD will pay Contra Costa County $48 . 00 per transmission line. The total amount of the contract shall not exceed $55,200 . 00 . There is no net cost to the County. In consideration of services performed, EDD agrees to pay the monthly sum of Forty Eight and No/100 Dollars ($48.00) per line. Upon satisfactory completion of the work to be performed, an invoice, in triplicate, in arrears shall be submitted monthly. It is mutally understood between the parties that this Agreement may have been written before ascertaining the availability of congressional appropriation of funds, for the mutual benefit of both parties, in order to avoid program and fiscal delays which would occur if the Agreement were executed after that determination was made. This Agreement is valid and enforceable only if sufficient funds are made available to the State by the United States Government for the Fiscal Year(s) covered by this Agreement for the purposes of this program. In addition, this Agreement is subject to any additional restrictions, limitations, or conditions enacted by the Congress or any statute enacted by the Congress which may affect the provisions, terms or funding of this Agreement in any manner. It is mutally agreed that if the Congress does not appropriate sufficient funds for this program, this Agreement shall be amended to reflect any reduction in funds. EDD has the option to void the Agreement under the 120-day cancellation clause or to amend the Agreement to reflect any reduction of funds, which would be: mutually agreed upon by EDD and the contractor. 7. This Agreement may be amended by mutual agreement of the parties hereto, in writing. 8. This Agreement may be terminated by either of the parties by notifying the other party in writing 120 drays prior to the effective date of termination. 9. The conduct of the parties shall be in accordance with Title VI of the Civil Rights Act of 1964 and the rules and regulations promulgated thereunder. 11. Contractor, by signing this Agreement, does swear under penalty of perjury, that no more than one final, unappealable finding of contempt of court by a federal court has been issued against Contractor within the immediately preceding two-year period because of Contractor's failure to comply with an order of a federal court which orders the Contractor to comply with an order of the National Labor Relations Board. 12. Contractor's performance under the term and conditions herein specified shall be subject to an evaluation by EDD of the adequacy of the services performed, timeliness of response, and a general impression of the competency of the Contractor's firm and its staff. Such evaluation shall be forwarded to the State Department of General Services within 30 days of the completion of the performance as specified herein, and shall become a part of the permanent records maintained by the State of California for reference purposes. 13. This Agreement shall not be deemed effective until signed by both parties, and, if applicable, approved by the State Department of General Services. 14. Contractor or vendor agrees that the awarding department or its delegatee will have the right to review, obtain, and copy all records pertaining to performance of the contract. Contractor or vendor agrees to provide the awarding department or its delegatee with any relevant information requested and shall permit the awarding department or its delegatee access to its premises, upon reasonable notice, during normal business hours for the purpose of interviewing employees and inspecting and copying such books, records, accounts, and other material that may be relevant to a matter under investigation for the purpose of determining compliance with Public Contract Code Section 10115 et seq. and Title 2, California Code of Regulations, Section 1896.60 et seq. and Section 999.2 of the Military and Veterans Code. Contractor or vendor further agrees to maintain such records for a period of three (3)years after final payment under the contract. EDD Contract No. 400307 EDD/Contra Costa Co. In contemplation of the provisions of Section 895.4, California Government Code, each party agrees to indemnify and hold the other party harmless from all liability for damage to persons or property arising out of or resulting from acts or omissions of the indemnifying party. 16. This contract is entered into under and subject to the following :legal authorities: California Government Code Sections 26227 and 31000. EDD Contract M400307 EDD/Contra Costa Co. August 1, 1993 Exhibit A Page 1 of 1 SPECIFICATIONS 1. The Contractor will provide access to 100 transmission paths, for a period of one year. 2. The Contractor will provide 50 transmission paths to EDD at the onset of this contract and, upon request, increase the number of transmission paths in increments of 10 transmission paths. 3. The EDD will pay Forty Eight and No/100 Dollars ($48.00) per transmission path, per month based on the paths in use. 4. At the end of the one year period, the Contract may be amended on a quarterly basis, by mutual agreement by both parties, not to exceed a 12 month extension. 5. EDD will provide to Contra Costa County a configuration of the use of the transmission paths. 6. The EDD will utilize the transmission paths as a "pass through" for service to the Richmond call center. EBB Contract M400307 EBB/Contra Costa Co. The applicable regulations of the Fair Employment and Housing Commission implementing Government Code, Section 12990 (a-f) , set forth in Chapter 5 of Division 4 of Title 2 of the California Code of Regulations are incorporated into this contract by reference and made a part hereof as if set forth in full. Contractor and its subcontractors shall give written notice of 'their obligations under this clause to labor organizations with which they have a collective bargaining or other agreement. 2.
