ON REDEVELOPMENT PLAN AMENDMENT

RECOMMENDATION:
1. Authorize the Chair of the Board of Supervisors to sign the fiscal agreement with
the Redevelopment Agency of the City of Pittsburg on the Third Amendment to
the Agency Plan
BACKGROUND:
Over the last year, county and city staffs Piave been negotiating a fiscal agreement which
involves the third amendment to the Pittsburg Redevelopment Agency Plan. An
agreement has been arrived at consistent with Board parameters and direction. This
agreement will not result in any loss of property tax revenue to the County General
Fund, Riverview Fire District, County Library, Flood Control District and Water
Conservation District. The County Administrator recommends the plan be approved.

FISCAL AGREEMENT
AMONG
THE REDEVELOPMENT AGENCY OF THE CITY OF PITTSBURG#
THE COUNTY OF CONTRA COSTA,
THE CONTRA COSTA COUNTY FLOOD CONTROL
AND WATER CONSERVATION DISTRICT,
AND THE RIVERVIEW FIRE DISTRICT
This Fiscal Agreement (the "Agreement") by and among the
Redevelopment Agency of the City of Pittsburg (the "Agency") , the
County of Contra Costa, including the Contra Costa County Library
District (the "County") , the Contra Costa County Flood Control
District (the "Flood Control District") , and the Riverview Fire
District (the "Fire District") (collectively, the "Parties") is
executed as of the 20th day of July, 1993, with reference to the
following facts:
A. These Recitals refer to and utilize certain capitalized
terms which are defined in-Article 1 of this Agreement. The
parties intend to refer to those definitions in connection with
the use thereof in this ,Agreement.
B. The Agency has prepared and the City Council of the
City has adopted the Amended Plan which expands the Agency's
financial resources to assist in redeveloping the Project Area
and adds certain territories to the Project Area.
C. Pursuant to (1) Section 16 of Article XVI of the
constitution of the State of California, (2) Health and Safety
Section 33670 et sea. , and (3) the Amended Plan, the Agency is
entitled to receive Tax Increment Revenue to pay the principal of
and interest on loans of, monies advanced to, or indebtedness
incurred by, the Agency to finance, in whole or in part,
redevelopment in accordance with the Amended Plan.
D. The Taxing Agencies are taxing agencies with territory
located within the Project Area and have concerns over the
potential negative impact of the Amended Plan on their financial
situation.
E. A fiscal review committee was convened for the Amended
Plan pursuant to Health and Safety Code Section 33353 and
meetings were held that were attended by the Parties and other
affected taxing entities.
F. The fiscal review committee determined, and the Agency
has found that, but for the fiscal mitigation measures set forth
in this Agreement, the Project undertaken pursuant to the Amended

Plan would create a financial burden or detriment on the Taxing
Agencies as defined in Health and Safety Code Section 33012.
G. In consideration of this Agreement determining the
obligations of the Agency with respect to the Project and the
Amended Plan, the Taxing Agencies are foregoing the right to
contest the adoption of the Amended Plan.
NOW, THEREFORE, the Parties agree as follows:
ARTICLE 1
DEFINITIONS
The following general definitions shall govern this
Agreement:
1.1 "Agency" means the Redevelopment Agency, of the City of
Pittsburg.
1.2 "Amended Plan" means the Third Amendment to the
Community Development Plan for the Los Medanos Community
Development Project, which has been prepared by the Agency and
adopted by the City Council of the City, by Ordinance No. 93-
1063 on June 7, 1993, and includes as a part thereof the Amended
and Restated Community Development Plan for the Los Medanos
Community Development Project.
1.3 "Cap Year" means the Fiscal Year in which the total Tax
Increment Revenue received from the Los Medanos Core Subarea
after Fiscal Year 1992-93 equals or exceeds four hundred million
dollars ($400,000,000) .
1.4 "Cap Year Assessed Valuation" means the assessed
valuation of property for the Los Medanos Core Subarea for the
Cap Year.
1.5 "Chevron Subarea" means that portion of the Project
Area shown as the "Chevron Subarea" on the attached Exhibit A and
described on the attached Exhibit B.
1.6 "City" means the City of Pittsburg, California.
1.7 "City Council" means the City Council of the City of
Pittsburg, California.
.1.8 "Community Redevelopment Law" means the California
Community Redevelopment Law (Health and Safety Code Section 33000
et seg. ) .

1.9. "County" means Contra Costa County, California.
1.10 "County Share" means the proportionate percentage share
of Tax Increment Revenue that the County and the Contra Costa
County Library District would have received as property taxes
from the respective subareas of the Project Area at the time of
the effective date of this Agreement if there were no provision
in the Amended Plan for the division of taxes pursuant to Health
and Safety Code Section 33670 et sea.
1. 11 "Fire District" means the Riverview Fire District.
1.12 "Fire District Share" means the proportionate
percentage share of Tax Increment Revenue that the Fire District
would have received as property taxes from the respective
subareas of the Project Area at the time of the effective date of
this Agreement if there were no provision in the Amended Plan for
the division of taxes pursuant- to Health and Safety Code Section
33670 et seq.
1.13 "Fiscal Year" means the time period commencing with
July 1 and ending with June 30 of the following calendar year.
1.14 "Flood Control District" means the Contra Costa County
Flood Control and Water Conservation District.
1.15 "Flood Control District Share" means the proportionate
percentage share of Tax Increment Revenue that the Flood Control
District would have received as property taxes from the
respective subareas of the Project Area at the time of the
effective date of this. Agreement if there were no provision in
the Amended Plan for the division of taxes pursuant to Health and
Safety Code. Section 33670 et see .
1.16 "Los Medanos Core Subarea" means that portion of the
Project Area shown as the "Los Medanos Core Area" on the attached
Exhibit A and described on the attached Exhibit C.
1.17 "Los Medanos 2 Subarea" means that portion of the
Project Area shown as the "Los Medanos 2 Subarea" on the attached
Exhibit A and described on the attached Exhibit D.
1. 18 "Net Tax Increment Revenue" means Tax Increment Revenue
less any obligations of the Agency to set aside funds for low and
moderate income housing, pursuant to the Community Redevelopment
Law, and any payments made to other taxing agencies.
1.19 "Northeast Subarea" means that portion of the Project
Area shown as the "Northeast Subarea" on the attached Exhibit A
and described on the attached Exhibit E.

1.20 "Prior Agreement" means the Agreement Regarding the Los
• Medanos Community Development Plan Pursuant to Health and Safety
Code Section 33401 among the County, the Fire District and the
Agency signed by the County on January 21, 1984, the Fire
• District on January 31, 1984, and the Agency on February 6, 1984
as amended by a Subordination Agreement among the County, the
Fire District, and the Agency dated as of February 26, 1991 and
as further amended by the First Amended Subordination Agreement
dated as of August 11, 1992.
1.21 "Project" means the program of redevelopment to be
undertaken by the Agency in the Project Area pursuant to the
provisions of the Amended Plan and the Community Redevelopment
Law.
1.22 "Project Area" means- the Los Medanos Community
Development Project Area of the Amended Plan. The Project Area
encompasses the Los Medanos Core Subarea, the Los Medanos 2
Subarea, the Southwest Subarea, the Chevron Subarea, the
Northeast Subarea and the Willow Pass Subarea.
1.23 "Project Area Assessed Valuation" for a given Fiscal
Year means the assessed valuation of Project Area property as
determined by the County Auditor-Controller in calculating Tax
Increment Revenue payable to the Agency for that Fiscal Year.
1.24 "Southwest Subarea" means that portion of the Project
Area shown as the "Southwest Subarea" on the attached Exhibit A
and described on the attached Exhibit F.
1.25 "Tax Increment Revenue" means those taxes allocated to
and received by the Agency pursuant to Health and Safety Code
Section 33670 et sec . from increases in assessed valuation of the
property in the Project Area above the valuation shown on the
assessed valuation roll last equalized prior to the date of
adoption of the City ordinances adopting the Amended Plan.
1.26 "Taxing Agencies" means the County, including the
Contra Costa County Library District, the Flood Control District
and the Fire District. Reference to a "Taxing Agency" means any
one of the County, the Flood Control District or the Fire
District, or each of them, as the context may require.
1.27 "Willow Pass Subarea" means that portion of the Project
Area shown as the "Willow Pass Subarea on the attached Exhibit A
and described on the attached Exhibit G.

ARTICLE 2
PAYMENTS TO TAXING AGENCIES
2.1 Payments to Taxing Agencies Based on Annual Inflation
Factor for the Los Medanos 2 , Chevron, Northeast. Southwest and
Willow Pass Subareas. The Agency shall pay, during the period
commencing with Fiscal Year 1994-95 and ending in Fiscal Year
2032-2033, to each Taxing Agency, that Taxing Agency's Share of
the real property tax revenues, if any, that are attributable to
increases in the assessed value of the taxable real property in
the Los Medanos 2, Chevron, Northeast, Southwest, and Willow Pass
Subareas of the Project Area, as the assessed value is
established by the assessment roll last equalized prior to the
effective date of City's ordinance adopting the Amended Plan
("base year assessed valuation") , which increases are calculated
annually pursuant to subdivision (f) of Section 110.1 of the
Revenue and Taxation Code. (Revenue and Taxation' Code Section
110.1(f) describes the annual inflation factor adjustment (which
cannot exceed 2 percent) is assessed valuation of real property. )
The Parties understand and agree that such amount shall equal the
amount of real property tax revenues that would have been
allocated to the Taxing-Agencies had the Taxing Agencies made the
election pursuant to Health and Safety Code Section 33676(a) (2)
with respect to the Los Medanos 2, Chevron, Northeast, Southwest,
and Willow Pass Subareas. The base year assessed valuation for
each Subarea shall be determined by using Fiscal Year 1992-1993
as the base year.
2.2. Payments to Taxing Agencies Based on Annual Inflation
Factor for Los Medanos Core Subarea. Commencing in the Cap Year
and ending in Fiscal Year 2032-2033, the Agency shall pay to each
Taxing Agency, that Taxing Agency's Share of the real property
tax revenues, if any, that are attributable to increases in the
assessed value of the taxable real property in the Los Medanos
Core Subarea above the Cap Year Assessed Valuation, which
increases are calculated annually after the Cap Year pursuant to
subdivision (f) of Section 110.1 of the Revenue and Taxation
Code.
It is the expectation and intent of the parties, based on
current projections of future Tax Increment Revenue, that a total
of $78,000, 000 will be paid to all of the Taxing Agencies
collectively pursuant to the provisions of this Section 2.2 prior
to the date on which the Agency reaches the limitation on the
number of dollars to be allocated pursuant to the Amended Plan.
The Agency will review every five years the anticipated year
in which the Agency will reach the limitation on the number of
dollars to be allocated to the Agency pursuant to the Amended

Plan and the anticipated total revenue to be paid to the Taxing
Agencies pursuant to this Section. If it appears that a total of
$78,000,000 will not be paid to all the Taxing Agencies prior to
the date on which the Agency anticipates it will reach the
limitation on the number of dollars to be allocated pursuant to
the Amended Plan, County Staff and Agency staff will meet to
discuss the timing of payments to the County pursuant to this
Section.
2.3 Payments to the County. Commencing with Fiscal Year
1994-95 and continuing until Fiscal Year 2032-2033, the Agency
shall pay to the County the following:
(a) One hundred percent (100%) of the County Share of the
Net Tax Increment Revenue generated from the Los Medanos 2
Subarea, less any amounts the Agency has paid for such Fiscal
Year from such Subarea pursuant to Section 2.1;
(b) Thirty-one and ninety-four one hundredths percent
(31.94%) of the Net Tax Increment Revenue generated from the
Chevron and Southwest Subareas, less any amounts the Agency has
paid for such Fiscal Year from such Subareas pursuant to Section
2.1; and
(c) Eighty percent (80%) of the County Share of the Net Tax
Increment Revenue generated from the Northeast and Willow Pass
Subareas, less any amounts the Agency has paid for such Fiscal
Year from such Subareas pursuant to Section 2.1.
2.4 Payments to the Flood Control District. Commencing
with Fiscal Year 1994-95 and continuing until Fiscal Year 2032-
2033, the Agency shall pay to the Flood Control District the
following:
(a) One hundred percent (1000 of the Flood Control
District Share of the Net Tax Increment Revenue generated from
the Los Medanos 2 Subarea less any amounts the Agency has paid
for such Fiscal Year from such Subarea pursuant to Section 2.1;
(b) One hundred percent (1000 of the Flood Control
District Share of the Net Tax Increment Revenue generated from
the Chevron and Southwest Subareas, less any amounts the Agency
has paid for such Fiscal Year from such Subareas pursuant to
Section 2.1; and
(c) Eighty percent (80%) of the Flood Control District
Share of the Net Tax Increment Revenue generated from the
Northeast and Willow Pass Subareas, less any amounts the Agency

has paid for such Fiscal Year from such Subareas pursuant to
Section 2.1.
2.5 Payments to the Fire District.
(a) Commencing with Fiscal Year 1994-95 and continuing
until Fiscal Year 2032-2033, the Agency shall pay to the Fire
District the following:
(i) One hundred percent (100%) of the Fire District
Share of the Net Tax Increment Revenue generated from the Los
Medanos 2 Subarea less any amounts the Agency has paid for such
Fiscal Year from such Subareas pursuant to Section 2.1;
(ii) One hundred percent (100%) of the Fire District
Share of the Net Tax Increment" Revenue generated from the
Northeast and Willow Pass Subareas, less any amounts the Agency
has paid for such Fiscal Year from such Subareas pursuant to
Section 2.1. ; and
(iii) One hundred percent (100%) of the Fire District
Share of the Net Tax Increment Revenue generated from the Chevron
and Southwest Subareas, less any amounts the Agency has paid for
such Fiscal Year from such Subareas pursuant to Section 2.1.
(b) Commencing with Fiscal Year 1993-94 and continuing
until Fiscal Year 2032-2033 the Agency shall pay to the Fire
District one hundred percent (100%) of the Fire District Share of
the amount calculated by subtracting from One Million Seven
Hundred Thousand Dollars ($1,700, 000) the amount of any payment
the Agency is required to make to the Educational Revenue
Augmentation Fund created pursuant to Revenue and Taxation Code
Section 97.03 , or a similar or successor fund or account;
provided however that no payment shall be made pursuant to this
subsection (b) after the total cumulative payments pursuant to
this subsection (b) exceed Three Million Dollars ($3,000,000) .
(c) In any Fiscal Year commencing with Fiscal Year 1993-94
and continuing until Fiscal Year 2032-2033, if:
(i) the Agency debt service for any currently existing
Long-Term Indebtedness (as defined in Section 2.8) is reduced
(the "Cost Reduction") pursuant to any "Refunding Indebtedness"
(as defined in Section 2.8) ; and
(ii) the payments of the Fire District is to receive
pursuant to this Agreement are used for debt service coverage as
set forth in Section 2.8 (b) (ii) , then

the Agency shall pay to the Fire District the following
portion of the Cost Reduction: the amount of the payments set
forth in (ii) above divided by the total pledge of all funds for
the Refunding Indebtedness. The Agency shall pay the Fire
District the Fire District's share of the Cost Reduction in each
Fiscal Year in which the Agency receives a Cost Reduction. At
the time of issuance of such Refunding Indebtedness, the Agency
will provide the Fire District a statement, certified by the
Agency chief financial officer, showing the amount of the Cost
Reduction, the Fire District's share of the Cost Reduction,
pursuant to this Section 2.5, and a schedule of payments to be
made pursuant to this Section 2.5.
2.6 Time of Payment. The Agency shall make the payments
required pursuant to Sections 2.1, 2.2, 2.3, 2.4, and 2.5 for a
given Fiscal Year within thirty (30) days of receipt by the
Agency of the last installment of Tax Increment Revenue for such
Fiscal Year. Each payment.-made by the Agency shall be
accompanied by a statement setting forth in reasonable detail the
basis on which the determination of the amount of payment has
been made.
2.7 Limitation on Payments. Notwithstanding any other
provision of this Agreement, no payments shall be made to any
Taxing Agency, if (a) the receipt of the payment would cause any
Taxing Agency to exceed its expenditure limitations under Article
XIII B of the California Constitution; or (b) the payment would
be contrary to the provisions of Health and Safety Code Section
33401 or violate any other provisions of law. Any excess amounts
under this Section 2.7 shall be retained by the Agency for
distribution, in the Agency's sole discretion, for the purposes
of paying indebtedness incurred by the Agency in carrying out the
Amended Plan.
2.8 Priority of Agency's Obligations.
(a) The following capitalized terms shall have the
following meanings unless the context otherwise requires:
i) The term "Long-Term Indebtedness" means any
indebtedness with a maturity in excess of three years issued by
the Agency for the purpose of financing or refinancing the
Project which is in whole or in part payable from or secured by a
pledge of Tax Increment Revenue from the Project Area.
ii) The term "Refunding Indebtedness" means any
indebtedness issued (whether as a separate issue or as part of an
issue) by the Agency for the purpose of refunding or defeasing

previously issued Long-Term Indebtedness, provided that the
maximum annual debt service on such Refunding Indebtedness does
not exceed the maximum annual debt service on the Long-Term
Indebtedness refunded or defeased; and provided, further, that
the principal amount of Refunding Indebtedness may exceed the
principal amount of the Long-Term Indebtedness it refunds or
defeases.
(b) The Taxing Agencies hereby agree to subordinate their
rights to receive Tax Increment Revenue payments under the
Agreement, as follows:
i) As to all Long-Term Indebtedness issued by the
Agency prior to the date of this Agreement and as to any
Refunding Indebtedness (whether issued prior to or after the date
of this Agreement) , the right of the Taxing Agencies to receive
such Tax Increment Revenue payments is subordinated without the
requirement of any further action by the Taxing Agencies or the
Agency.
ii) As to any Long-Term Indebtedness issued after the
date of this Agreement, "the Taxing Agencies hereby consent to the
subordination of their rights to receive payments under the
Agreement, provided that the Agency shall demonstrate to the
reasonable satisfaction of each of the Taxing Agencies that the
aggregate of the Tax Increment Revenues to be subordinated are
used in the cash-flow for the proposed Long-Term Indebtedness
only for additional security in the form of debt service
coverage, and that such revenues will be adequate, over the term
of the proposed Long-Term Indebtedness, to pay 100% of the actual
debt service on the proposed Long-Term Indebtedness and any other
Long-Term Indebtedness or Refunding Indebtedness then outstanding
and to pay the Agency's obligations under the Agreement, and any
other obligations of the Agency, whether statutory or
contractual, which are or would be superior to the Agency's
obligations under the Agreement. The Agency shall make such
demonstration in the form of a written financial report to the
Taxing Agencies including debt service schedules and revenue
forecasts. Within 30 days after delivery of such report, the
Taxing Agencies agree to execute and deliver to the Agency a
written consent to the subordination. In no event shall any
provision of this Agreement be construed to require the consent
of the Taxing Agencies to the issuance by the Agency of Long-
Term Indebtedness or Refunding Indebtedness.
(c) In the event that the payments to the Taxing Agencies
pursuant to the Agreement are reduced below the amount otherwise
payable to them thereunder pursuant to this Agreement, then such
reduction shall be treated as an advance by the Taxing Agencies

and shall be repaid by the Agency as promptly as possible and
with interest at a rate equivalent to the Local Agency Investment
Fund rate then being paid, provided that such repayment shall
remain subordinate to any then outstanding Long-Term Indebtedness
or Refunding Indebtedness. The Agency shall use all Tax
Increment Revenue available to it after payment of debt-service
on such outstanding Long-Term Indebtedness and Refunding
Indebtedness to repay such advances and accrued interest.
2.9 Section 33676 Election Superseded. Each Taxing Agency
acknowledges that this Agreement supersedes any purported right
to election under Health and Safety Code Section 33676 with
respect to the Amended Plan or predecessor redevelopment plans.
The Taxing Agencies shall not make any election pursuant to
Health and Safety Code Section 33676, and this Agreement
supersedes any election previously made or purported to be made
by the Taxing Agency pursuant to Health and Safety Code Section
33676. Any such election or purported election shall be null and
void. The Taxing Agencies.-shall take any action required by the
County Auditor-Controller or other responsible County official
required to rescind any such prior election and to notify the
County Auditor-Controller or other responsible County official
that the Taxing Agency has elected not to receive any amounts
pursuant to Health and Safety Code Section 33676. The Taxing
Agencies shall receive no payment of Tax Increment Revenue other
than as provided in this Agreement.
2. 10 Indebtedness of the Agency. The payments to be made
pursuant to this Article 2 shall constitute an indebtedness of
the Agency incurred in carrying out the Project and a pledge of
Tax Increment Revenue from the Project to repay such indebtedness
under the provisions of Article XVI, Section 16 of the
Constitution of the State of California and under the Community
Redevelopment Law.
2.11 Extraterritorial Jurisdiction/Annexation of Chevron
Subarea. The County agrees to fully support annexation of the
Chevron Subarea to the City and to adopt an ordinance
substantially in the form attached as Exhibit H prior to adoption
of the Amended Plan. Notwithstanding any other provision of this
Agreement, no Taxing Agency shall receive any allocation or
payment of property tax revenues generated in the Chevron Subarea
pursuant to Sections 2. 1, 2.2, 2.3, 2.4, or 2.5 of this Agreement
unless the County adopts an ordinance substantially in the form
attached as Exhibit H, prior to or on July 20, 1993. Upon
adoption of this ordinance and pursuant to Health and Safety Code
Section 33213, the City Council, the Agency, and the City's
Planning Commission shall have all the rights, powers, and

privileges with respect to the Chevron Subarea as if it were in
the territorial limits of the City.
ARTICLE 3
OTHER OBLIGATIONS
3.1 Health Clinic Project. The Agency agrees to fund up
to Two Million Dollars ($2,000,000) for capital improvements to
or reconstruction of the Pittsburg Health Clinic at Los Medanos
Hospital within the later to occur of the date two years from the
date of adoption of the Amended Plan or the date two years from
the date of the settlement of a final judgement in litigation, if
any, filed concerning adoption of the Amended Plan. This funding
will not affect any of the payments by the Agency to the County
pursuant to Article 2 of this Agreement.
3.2 County Redevelopment Project.
(a) The Agency will, in good faith, participate with
the County in a joint planning effort for the area
surrounding the West Pittsburg BART Station. The
Agency shall fund one-third of the costs of
consultant(s) to prepare a Specific Plan and
prepare any reports or documentation required
under or related to the California Environmental
Quality Act (CEQA) .
(b) The Agency agrees to fund improvements to Willow
Pass Road east of Bailey Road within the City
limits. The improvements include, but are not
necessarily limited to, curb, gutter, sidewalk,
drainage, and landscaping activities, as well as
property acquisition related thereto, in the areas
shown on the map attached as Exhibit I. At the
time of this Agreement, it is estimated that the
cost to the Agency of funding said improvements
will be approximately $307,000, as shown on
attached Exhibit I.
3.3 Other Capital Improvements. The Agency will fund
between $4 million and $38 million of County/Agency joint capital
facilities within the Project Area. The County shall provide the
Agency a list of requested improvements within ninety (90) days
of this Agreement, and the County staff and Agency staff will
meet from time to time to determine which specific improvements
are to be funded, when those improvements will be funded and when
and which entity will construct the improvements pursuant to this
Agreement (the "Schedule") .

The Agency funding of capital improvements pursuant to this
Section 3.3 is expressly conditioned upon the receipt by the
Agency of Net Tax Increment Revenue in the Fiscal Year in which
the capital improvement funding is required pursuant to the
Schedule which is greater than the prior Fiscal Year's Net Tax
Increment Revenue by a factor of at least twenty percent (20%) of
the cost of the capital improvements to be funded pursuant to the
Schedule in that Fiscal Year. If the Net Tax Increment Revenue
is not equal to or greater than the level set forth above, the
Agency shall not fund the capital improvements designated
pursuant to the Schedule for such Fiscal Year.
The Agency's payments to the County pursuant to Section 2.3
for any Fiscal Year shall be reduced by the amount of any
payments made for capital projects in that Fiscal Year pursuant
to this Section 3.3 unless the- funds for the capital improvements
are provided from bond proceeds. In that case, the amount of the
reduction in payment shall--be calculated by dividing the funds
provided pursuant to this Section 3.3 by the total amount of the
bond issuance providing such funds ("Bonds") . This percentage is
multiplied by the average amount debt service for the issuance of
Bonds to calculate the reduction in payment for each Fiscal Year.
The reduction in payment shall be applied for each Fiscal Year in
which the Bonds are outstanding.
3.4 Regional Transportation. The Parties recognize the
importance of subregional traffic circulation. The Parties also
recognize that the City's General Plans of 1982 and 1988 include
a proposed major arterial roadway connecting the future extension
of James Donlan Boulevard to Kirker Pass Road, known as the
Buchanan Road Bypass (the "Bypass") .
The Parties understand that the Bypass will, of geographical
necessity, pass through areas within the unincorporated area,
beyond the Urban Limit Line for the City, as well as through the
City's boundaries.
The County cannot agree by contract to pre-approve
discretionary entitlements or land use actions. The law provides
for a process pursuant to which such matters must be objectively
reviewed and considered.
As a material inducement to the Agency's entering into
this Agreement, the County will process the City's efforts to
pursue the development of the Bypass in as expeditious a manner
as is permitted by law. The City shall continue to act as lead
agency for the Bypass for California Environmental Quality Act
purposes. This Agreement is not intended to prevent the County

from commenting on any matter relating to the Bypass, including,
but not limited to the design, construction or transportation
aspects of the Bypass.
ARTICLE 4
GENERAL PROVISIONS
4.1 Elimination of Financial Burden; No Contest of Plan.
The Taxing Agencies acknowledge and agree that the payments to be
made and the actions to be undertaken by the Agency pursuant to
this Agreement will effectively eliminate any financial burden or
detriment that would otherwise be caused by the adoption of the
Amended Plan and implementation of the Project. In consideration
of such payments and actions, each Taxing Agency agrees to forgo
any right or remedy the Taxing Agency may have in law or equity
to contest the preparation, adoption, or validity of the Amended
Plan (including, without limitation, any right or, remedy pursuant
to the California Environmental Quality Act) and the
implementation of the Project contemplated to be undertaken
pursuant to the Amended Plan. Each Taxing Agency further
declares its support for the efforts of the Agency and the City
in connection with the preparation, adoption and implementation
of the Amended Plan.
4.2 Notices. All notices, statements, or other
communications made pursuant to this Agreement to another Party
shall be in writing, and shall be sufficiently given and served
upon the party if sent by United States registered mail, return
receipt requested, postage prepaid, and addressed as follows:

Any Party may change its address for notice purposes by
written notice to the other party prepared and delivered in
accordance with the provisions of this Section 4.2.
4.3 No Third Party Beneficiaries. No person or entity
other than each Taxing Agency, the Agency, and their permitted
successors and assigns, shall have any right of action under this
Agreement.
4.4 Litigation Regarding Agreement. In the event
litigation is initiated attacking the validity of this Agreement,
each Party shall in good faith defend and seek to uphold the
Agreement.
4.5 Term of Agreement. This Agreement shall take effect
as of the date of adoption of the City ordinance adopting the
Amended Plan and shall terminate upon the earliest to occur of:
(a) the entry of final judgement by a court of competent
jurisdiction invalidating the Amended Plan, the adoption of the
Amended Plan or any proceedings in connection therewith
(including without limitation California Environmental Quality
Act issues) ; (b) certification by the County Register of Voters
of a "no" vote in a referendum election on the Amended Plan; or
(c) expiration of the Amended Plan and completion of all
obligations of the parties under this Agreement incurred during
the term of the Amended Plan. Following termination, neither of
the Parties shall have any further rights or obligations under
this Agreement.
Each Taxing Agency acknowledges and agrees that, following
satisfaction of all other obligations of the Agency under the
Amended Plan, the City and the Agency may cause expiration of the
Amended Plan prior to the currently contemplated date for such
expiration.
4.6 State Law. This Agreement, and the rights and
obligations of the Parties hereto, shall be construed and
enforced in accordance with the laws of the State of California.
4.7 Attorneys' Fees. In any action which a Party brings to
enforce its rights hereunder, the unsuccessful Party shall pay

all costs incurred by the prevailing Party, including reasonable
attorneys' fees.
4.8 Termination of Prior Agreement. This Agreement
supersedes the Prior Agreement in its entirety, and the Prior
Agreement is hereby terminated and of no further force and
effect. The Taxing Agencies acknowledge and agree that all of
the'Agency's obligations under the Prior Agreement have been
satisfied in full.
Notwithstanding the foregoing, if this Agreement is
terminated as a result of an event described in Section 4.5, then
the Prior Agreement shall be reinstated and shall thereafter
control the rights and obligations of the parties with respect to
the Amended Plan.
4.9 Effect of Change in Financing System. ' If there are
any changes in State law after the date of this Agreement which
alter the process of allocating Tax Increment Revenue or the
calculation of the Tax Increment Revenue, the Parties agree to
negotiate in good faith to revise this Agreement so that the
basic goals of providing the Agency and the Taxing Agencies
viable funding levels will be preserved. The operative concern
in such negotiations shall be that the Agency needs adequate
funding for Project implementation and that the Taxing Agencies
shall not suffer a net revenue loss, bearing in mind that the
Agency's efforts create additional assessed valuation that would
not exist absent the Agency's efforts.
4. 10 Effect of the Agreement. The Agency, the City and the
County entered in an Agreement Relating to Financial Impacts of
Certain Boundary Changes dated as of October, 1992 (the
"Annexation Agreement") . The County acknowledges and agrees that
this Agreement supersedes the Agency's obligations under the
Annexation Agreement in their entirety, and that the Annexation
Agreement is hereby terminated as to the Agency and of no further
force and effect as to the Agency. The County acknowledges and
agrees that all of the Agency's obligations under the Annexation
Agreement have been satisfied in full.

4.11 Entire Agreement. This Agreement constitutes the
entire and integrated agreement of the Parties, and supersedes
all prior negotiations, representations, or agreements, either
written or oral. This Agreement may be amended only by written
instrument executed by each of the Parties.

Over the last year, county and city staffs Kiave been negotiating a fiscal agreement which
involves the third amendment to the Pittsburg Redevelopment Agency Plan. An
agreement has been arrived at consistent with Board parameters and direction. This
agreement will not result in any loss of property tax revenue to the County General
Fund, Riverview Fire District, County Library, Flood Control District and Water
Conservation District. The County Administrator recommends the plan be approved.

The Board of Supervisors of the County of Contra Costa (the
"Board) does ordain that:
Certain unincorporated area of the County of Contra Costa,
as shown on Exhibit A attached hereto and by this reference
incorporated herein (sometimes commonly known as the "Chevron
Area" or "Amendment Area No. #411, and referred to in this
Ordinance as the "County Area") , is in need of redevelopment and
has not previously been included in a redevelopment project area;
and
The County Area is contiguous to the City of Pittsburg (the
"City") , which is within the redevelopment jurisdiction of the
Redevelopment Agency of the City of Pittsburg (the "Agency") ; and
The Agency has prepared for consideration by the City
Council of the City a Third Amendment (the "Third Amendment") to
the Redevelopment Plan for the Los Medanos Community Development
Project, which would (1) add certain territory, including the
County Area, to the previously existing Los Medanos Community
Development Project Area, and (2) amend and restate the
previously existing redevelopment plan in the form of the Amended
and Restated Community Development Plan for the Los Medanos
Community Development Project (the ""Amended Plan") . A copy of the
Third Amendment is on file with the County Clerk and is
incorporated in this Ordinance by this reference; and
Health and Safety Code Section 33213 permits the Board to
authorize the redevelopment of the County Area by the City and
the Agency upon approval by the Board of the Third Amendment
(including the Amended Plan) ; and .
The Board has had an opportunity to review the Third
Amendment (including the Amended Plan) and has determined that it
is desirable, appropriate, and in the best interest of the •
residents of the County and of the City that this Board authorize
the City and the Agency to redevelop the County Area;
The Agency, as lead agency under the California
Environmental Quality Act ("CEQA") , has proposed and circulated
an Environmental Impact Report for the Third Amendment (the
"EIR") , a copy of which is on file with the County Clerk;
The Board is a responsible agency for purposes of CEQA, and
has complied with the requirements of a responsible agency in the
review and consideration of the EIR in accordance with the
requirements of CEQA and applicable CEQA guidelines, as more
fully set forth in the resolution of this Board adopted
concurrently with the introduction of this Ordinance (the "County
CEQA Resolution") . A copy of the County CEQA Resolution is on
file with the County Clerk and is incorporated herein by this
reference.

Second Reading of Ordinance
Honorable Chairman Torlackson and. Members of the Board:
Our office represents the Albert D. Seeno Construction
Company. A subsidiary corporation, Highlands Ranch Development,
Inc. , owns that certain real property located in the County
adjacent to the Cities of Pittsburg and Antioch known as the
Chevron Tank Farm Property. Our clients acquired that property
sometime ago and retain it with a view toward development at
sometime in the future.
You have on the Board agenda for tomorrow second
reading and adoption of an ordinance introduced last week
authorizing an agreement over revenue sharing between the County
an the City of Pittsburg and consenting to the inclusion of the
Chevron Tank Farm Property, along with other properties, within
the boundaries of the City of Pittsburg Redevelopment Area. This
property has not been annexed to the City of Pittsburg and is
divided virtually evenly into the spheres of influence of the
Cities of Pittsburg and Antioch.
Our clients wish to make crystal clear that they want
to preserve the option of developing this property in the County.
No agreement has been reached with either the City of Pittsburg
or the City of Antioch, nor has any decision been made on the
desirability of annexing this property into either City.
We, obviously, have no say in the determinations
between the County and the City of Pittsburg over revenue sharing
and the agreement to allow our properties ' inclusion within the
City' s redevelopment area. However, it appears premature to
include this property into the Redevelopment Area before it is

annexed and we hereby notify the Board that we want to preserve
and consider all options for development of this property,
including developing it within the County.
