SPECIFIC REQUEST(S) OR RECOMMENDATION(S) & BACKGROUND AND JUSTIFICATION
RECOMMENDED ACTION: Refer to the Internal Operations
Committee to review the proposed membership composition of the
Regional Agency Interim Governing Board and develop a position for
recommendation to the Board of Supervisors and ABAG.

BACKGROUND INFORMATION: The Legislative and Governmental
Organization Committee of ABAG has reviewed various proposals
submitted by different groups on the composition of the interim
governing board of a new consolidated Regional Agency.
Thelproposal for a new regional agency comes out of both the
Bay Vision 2020 and the ABAG Executive Committee discussions and
recommendations . Under consideration is the merger of today's ABAG,
MTC and Air Board functions into the new regional agency.
Attached is the preliminary and final L&GO Committee
recommendations . Both were approved on split votes . The subject of
representation is, of course, complex and controversial. I believe we
should carefully review the recommended representation, especially the
issue of elected and non-elected officials and the balance of city and
county representation. An important community meeting, sponsored by
ABAG, is being held in Contra Costa County on Thursday, September 19,
at 7 : 30 p.m. at the Walnut Creek City Hall .

The meeting was called to order at 3:10 p.m.
1 a. Discussion iof structure of regional agency interim governin& board. .
There was a lengthy discussion on this issue.
Hopkins proposed an over-arching General Assembly-type body with 1 representative for
each jurisdiction with an Executive Board for day-to-day operations with 39;members and .
a subregional structure as well.
Sisk felt there needed to be more definition of the powers of the governing board before
structure can be,determined.
Snyder said small cities and rural areas that are less dense feel put upon and controlled by

the more populous areas when representation is determined by population only.
It was felt there was a need to address the changing role of the county in the future.
Torlakson said the make-up of the Board should be totally local elected officials. ...;.
Spees said it should not be totally elected. That input from others and a buy-in.from special
interest groups such as labor, economic development, business, environment
,education etc...
is important.
The committee agreed that specific organizations to provide representatives would not be.
identified but, that certain interest areas would be asked to nominate candidates who.,would.
then be appointed by the local elected officials on the board.
It was discussed as to whether they should be represented in a separate advisory group.
Spees made the I proposal of a board of 39 members, split 32 (80%) local .elected and
7(20%) appointed.
It was then proposed to move the total up to 42 with 35 (83%) local.elected and 7 (17%)
appointed. The breakout of representation agreed to is detailed in the attached memo to
the Executive Board which is made a part of these minutes.
The Committee adopted this proposal with one no vote. Torlakson voted no because he
was in favor of atotay local elected board.

�hmmittee then voted on an amendment offered by Torlakson that would designate
one of the local elected official seats to alternate, for appointment,. between cities ,and
counties. The Committee accepted this on a 4-2 vote.
The committee also included as part of the motion the concept that as much of the existing
board structures)of ABAG, BAAQMD and MTC be retained for continuity.
1 b. Gary Binger reviewed the questionnaire on powers and authority of the regional-agency
and the responses that had been received. This will be presented to the Executive Board
on August 22 and the information used in discussion at the subregional meetings.

1 c. The updated subregional meeting schedule was distributed.
2 a. The Committee voted unanimously to recommend to the Executive Board that.ABAG .
study the possibility of expanding membership to include school districts: This request was
referred to the Committee by the Interagency Fiscal Unity and Reform Committee. The
Committee agreed to ask the Board for authority to explore the issue and.,make."specific
recommendations on structure, representation, dues, etc... The Committee also included in
the motion the idea that representatives, particularly of school districts, of the Interagency

Committee would participate.

2 b.The committee agreed that the Interagency Fiscal Reform Subcommittee for Legislation
should work with the L&GO Committee as a whole and should be sure to include school
district representatives.
3. There was no action on legislation. Torlakson asked for AB 494 to be on the August 22
agenda for consideration of support.

RE: L&GO Recommendation on Proposed Regional Agency Interim Governing Board
Composition
As requested by the Executive Board, the L&GO Committee formulated recommendations
on composition of the interim governing board of a new consolidated Regional Agency.
The Committee reviewed various proposals that have been made by'different groups in
developing its recommendation. The L&GO recommendation is presented below, followed
by the various alternatives that the Committee considered. This background information is: .
provided for information and discussion purposes at the Board meeting next week'.

L&GO COMMITTEE RECOMMENDATION
1. The Governing;Board would consist of 42 members.
2. 35 (83%) should be local elected officials and 7 (17%) should be non-elected.

3. The local elected officials would be appointed by County Boards of Supervisors and City
Selection Committees and should, as much as possible, retain those who .have ,been
participating members of the ABAG, BAAQMD and MTC boards, to retain their expertise
and continuity.

4. The non-elected officials would be appointed by the local-elected official committee .
members.
5. The non-elected members would come.from specialty/interest areas' such as 'labor,
business, environment and education.

population and partly on a desire to provide rural counties with adequate representation:

a. Each of the nine.counties should have at least one representative. Representation s ould `
generally reflect population size. Board size would be 35-40 people.
b. There should be no alternates and board members should be paid.
c. The board should consist partly (60%) of local elected officials (county supervisors and
city councilmembers) and partly of representatives of the public at-large (40%).
d. Appointments would be made by a panel of 10 residents of the nine-county Bay Area
made up of five local elected officials chosen by ABAG, one appointed by the Governor,
one by the President Pro Tem of the State Senate and one by.the Speaker.of the. State
Assembly. Two other panel members would be people of community stature and'broad
regional perspective.
e. The interim board would make a recommendation as to whether the permanent board
should be appointed or elected.
2. RECOMMENDATION OF BAY VISION ACTION COALITION -

a. The interim governing board should consist of 39 members. 26 (67%.) local elected
officials, 13 (33%) non-elected appointments.

b. The local elected representatives should be currently serving city councilmembers .or
county supervisors, appointed by a process that takes into account population,representation
from both large and.1 small communities and all geographic areas of the region.

c. The non-elected officials would be selected by the local elected members through a
nomination process by special interest groups representing business,environment,education,
etc...
3. PREFERENCE !OF SOME LOCAL GOVERNMENT RESPONDENTS TO THE
REQUEST FOR COMMENTS ON BAY VISION 2020 REPORT
a. Membership of the governing board should be of a sufficient number to provide adequate
representation of both large and small jurisdictions and would consist of 100% local elected
officials, appointedi through a county-based (Mayors Conference, Board .of Supervisors)
system.
