RESOLUTION NO. 88/ 566 SUBJECT: Assignment of Concord TV Cable Franchise to Western Communications, Inc. and The Chronicle Publishing Company. The Board of Supervisors of Contra Costa County RESOLVES that: WHEREAS on August 16, 1966, by Resolution No. 5410', the Board granted a non-exclusive license to Western Communications, Inc. to construct, operate and maintain a community antenna television system within certain areas of Contra Costa County in accordance with County Ordinance No. 1980; WHEREAS Western Communications, Inc. subsequently changed the name of its company to Concord TV Cable ( "CTVC" ) and this change was duly acknowledged by the Board on April 25, 1967 ; WHEREAS the above-described license was scheduled to expire on September 9 , 1986, but was subsequently extended to January 31, 1987 , by Resolution No. 86/572, dated September 23, 1986 and further extended to June 30, 1989 , by Resolution No. 87/66 dated February 3, 1987 and Board Order dated December 1, 1987 . WHEREAS CTVC has advised the County that its parent companies are undertaking an internal reorganization under which CTVC will be liquidated into Western Communications, Inc. (WCI ) and, immediately thereafter, WCI will be liquidated into The Chronicle Publishing Company (CPC) , and has requested transfer and assignment of CTVC' s franchise rights, duties and obligations first to WCI and then to CPC; WHEREAS CTVC's current franchise will expire on June 30, 1989, at which the time the County will have the opportunity to review the performance of CTVC and CPC in fulfilling their franchise duties; WHEREAS CTVC has advised the County that local management of the franchise system will not change due to. the reorganization; WHEREAS CTVC currently serves approximately 1, 000 subscribers within Contra Costa County; NOW, THEREFORE, BE IT RESOLVED that the Board of Supervisors hereby grants the transfer and assignment of CTVC's franchise in Contra Costa County first. to WCI and then, immediately thereafter, to CPC; BE IT FURTHER RESOLVED that CPC (doing business as CTVC) is hereby substituted for CTVC in all papers and agreements relating to CTVC' s franchise; that all rights, powers and privileges of CTVC's franchise are hereby granted to CPC; and that all the obligations and liabilities of CTVC's franchise are hereby imposed upon CPC; and BE IT FURTHER RESOLVED that the transfer and assignment of the franchise shall become effective at such time as the County receives notification in writing from CPC that the reorganization has been completed, and receives the Acceptance of License executed by the assignee, and the insurance and bonds required by the County' s ordinance. 1 hereby certify-that this is a true and correct copy of an action taken and entered on the minutes of the Board of Supervisors on the date shown. } Ip y ATTESTED: PHI4 BAT�CHE Clerk �. of the Board of Supervisors and County Administrator By , Deputy Orig.
