MICHAEL WALFORD, PUBLIC WORKS DIRECTOR DATE: August 5, 1986 SUBJECT: Sanitation District No. 15 Citizens' Advisory Committee Bylaws Specific Requests or Recommendation(sl & Background & Justification RECOMMENDATION Approve the amendment of the Bylaws of the Citizens' Advisory Committee (CAC); the Board of Supervisors acting as the Board of Directors of Contra Costa County Sanitation District No. ?5. FINANCIAL IMPACT None. REASONS FOR RECOMMENDATION/BACKGROUND The existing Bylaws were adopted in 1.968. On June 12, 1.986 the CAC discussed revising the Bylaws. On July 10, 1986 the CAC recommended the following changes to the Bylaws. Change Co-Chairman to Vice Chairman. Amend Article III to provide for election of officers in January of odd numbered .years. Amend Article VII to permit the Secretary to delegate the secretarial duties to staff. The Citizens' Advisory Committee recommended that the Board of Supervisors approve the amendments to the Bylaws. A draft copy of the Amended Bylaws is attached. DEPUTY EJS/sa bo:5.t8 DRAFT BYLAWS OF THE CITIZENS' ADVISORY COMMITTEE FOR CONTRA COSTA COUNTY SANITATION DISTRICT NO. 15 Approved by Committee on July 2, 1.968 Approved by Board of Supervisors August 13, 1.968 Amendment No. 1 Approved by the Board of Supervisors Amendment No. 1 Approved by the Committee PREAMBLE: We, the duly appointed Citizens' Advisory Committee of this area, in order to promote understanding and establish communication between the Board of Supervisors of Contra Costa County, acting as the Board of Directors of the Contra Costa County Sanitation District No. 15, and the electorate of the District, do hereby promise to support and uphold all District Ordinances and to disseminate all information made available through the Board of Directors of said County Sanitation District. Furthermore, we do hereby resolve to represent the people of this area by acting as a liaison body which will present the problems of this area to the Board of Directors of the Contra Costa County Sanitation District No. 1.5, and will recommend, after due consideration, upon all matters directly concerning the District. ARTICLE I This Citizens' Advisory Committee shall consist of seven members, who shall he residents of the District during their active term of office, duly appointed by the Board of Supervisors of Contra Costa County, State of California. ARTICLE II The officers of this Committee shall consist of the followinq: Chairman Vice Chairman Secretary ARTICLE III The Citizens Advisory Committee shall hold an election of officers at the reqular January meeting of odd numbered years. Should a vacancy occur in any Committee elected office the Committee shall at the following meeting hold an election to fill the vacancy. r ARTICLE IV The Citizens' Advisory Committee shall meet regularly once each month at a pre-designated meeting place. All Special Meetings shall he called at least seven days before such a meeting, at the discretion of the Chairman or a majority vote of the membership. All meetings shall be open to the public. ARTICLE V A quorum shall consist of four members of the Committee, one of whom shall he a duly elected officer or, in his absence, a temporary Chairman appointed by the members present. Each Committee Member shall have one vote. Minutes of each meeting shall be kept. ARTICLE VI Members of the Committee are expected to be diligent and prompt in attendance of meetings. When a Member cannot attend a Regular or Special Meeting he shall notify the Chairman of this fact either verbally or in writing at least twenty-four hours prior to the meeting time. Four consecutive absences without notification charged against any Member shall require the Committee to request the Board of Supervisors to declare the Member's office vacant and appoint a new Member. ARTICLE VII The duties of the duly elected officers are as follows: CHAIRMAN: The Chairman shall: 1. Preside over all Regular and Special Meetinqs; 2. Maintain communication as necessary with the Board of Directors of Contra Costa County Sanitation District No. 1.F; 3. Have the power to appoint all special subcommittees. VICE CHAIRMAN: The Vice Chairman shall: .1. Preside and act in the absence of the Chairman; 2. Serve as Chairman of all appointed subcommittees. SECRETARY: The Secretary shall : 1. Be responsible for minutes of all meetings; 2. Maintain an accurate record of attendance at all meetings; 3. Write all duly authorized correspondence. 4. With approval of the Committee the Secretary may delegate the above mentioned duties to district staff. 2 r ARTICLE VIII The Bylaws may be amended by the Citizens' Advisory Committee by a majority vote at a Regular Meeting, a quorum being present, provided notice of such amendment has been given at a previous Regular Meeting and the amendment has been approved by the Board of Supervisors. /dr sdl5:cacbylaws 3
